1. Acceptance and scope

These Terms of Use (“Terms”) are a legally binding agreement between you and the operator of uxc.news. By accessing or using the uxc.news website and related services (the “Service”), you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

These Terms apply to all visitors, users, and account holders. Additional terms may apply to specific features (e.g. premium content, author or admin access) and will be presented where relevant. Certain features or content may be subject to additional terms or fees, which will be disclosed prior to purchase.

3. Eligibility and accounts

You must be at least the age of majority in your jurisdiction and able to form a binding contract to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Where you create an account or sign in (e.g. via a third-party provider), you are responsible for keeping your credentials secure and for all activity under your account. You must provide accurate information and notify us promptly of any unauthorised use.

4. Use of the Service and acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal or internal business use in accordance with these Terms. You must not:

  • Use the Service in any way that violates applicable law or the rights of others.
  • Attempt to gain unauthorised access to the Service, other accounts, or our or any third party’s systems or data.
  • Scrape, crawl, or use automated means to collect content or data from the Service except as we expressly permit (e.g. via an API or robots.txt).
  • Interfere with or disrupt the integrity or performance of the Service.
  • Remove or alter any copyright, trademark, or other proprietary notices.

We may suspend or terminate your access if we reasonably believe you have breached these Terms or applicable law.

5. Intellectual property — our content

All content on the Service that we provide (including text, graphics, logos, images, software, design, and compilations) is owned by UXCentury or its licensors and is protected by copyright, trademark, and other intellectual property and unfair competition laws. You may not copy, modify, distribute, sell, or create derivative works from our content without our prior written permission, except for limited personal use (e.g. viewing, sharing links, or as permitted by applicable law such as fair use/fair dealing).

uxc.news, UXCentury, and related names and logos are trademarks or trade names of UXCentury or its affiliates. You may not use them without our prior written consent.

6. User content and licence grant

“User content” means any content you submit, post, or transmit through the Service (e.g. comments). You retain ownership of your user content. By submitting user content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, host, store, reproduce, modify, publish, and display that content in connection with operating and improving the Service and our business, and to enforce these Terms.

We are not obligated to monitor user content but may do so at our discretion. You represent that you have all rights necessary to grant this licence and that your user content does not infringe any third-party rights or applicable law. We may remove or refuse to publish user content that we reasonably believe violates these Terms, infringes others’ rights, or is harmful or illegal, and we may terminate repeat infringers’ access.

The Service may contain links to third-party websites or services. We do not control and are not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk and subject to their terms and policies.

8. Disclaimers

Content on the Service is provided for general informational and educational purposes only and does not constitute professional, legal, financial, or other advice. You should not rely on it as a substitute for qualified advice in any specific situation.

We do not guarantee the completeness, timeliness, or accuracy of any content, including news articles, opinions, or analyses. To the fullest extent permitted by applicable law, the Service and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. 9. Limitation of liability

To the maximum extent permitted by applicable law:

  • We and our affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, goodwill, or business opportunity) arising out of or in connection with the Service or these Terms, whether based on warranty, contract, tort (including negligence), strict liability, or any other theory.
  • Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months preceding the claim, or (b) one hundred euros (€100) or the equivalent in local currency.

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless UXCentury and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your user content, (c) your breach of these Terms or applicable law, or (d) your violation of any third-party rights. We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, at your expense.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for breach of these Terms. You may stop using the Service at any time. On termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. For material changes, we may provide additional notice (e.g. by email or a notice on the Service) where reasonably practicable. Your continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms, except where applicable law requires your explicit consent to material changes, in which case we will seek such consent.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Armenia, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed by good-faith negotiation. If the dispute cannot be resolved within a reasonable period, it may be submitted to the courts of Armenia, and you consent to the personal jurisdiction of such courts. Where you qualify as a consumer under applicable law (e.g. in the EU/EEA or UK), you may also benefit from mandatory consumer protection and the right to bring proceedings in the courts of your place of residence.

14. General

Entire agreement: These Terms, together with our Privacy Policy and any additional terms we provide for specific features, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings.

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms or our rights or obligations without restriction.
